    Questa settimana abbiamo assistito a nuovi record assoluti in Europa e a Wall Street. Il tutto, dopo una ottava che ha visto il susseguirsi di riunioni di banche centrali. Lunedì la Bank of Japan (BoJ) ha alzato i tassi per la prima volta dal 2007, mettendo fine all’era del costo del denaro negativo e al controllo della curva dei rendimenti. Mercoledì la Federal Reserve (Fed) ha confermato i tassi nel range 5,25%-5,50%, mentre i “dots”, le proiezioni dei funzionari sul costo del denaro, indicano sempre tre tagli nel corso del 2024. Il Fomc ha anche discusso in merito ad un possibile rallentamento del ritmo di riduzione del portafoglio titoli. Ieri la Bank of England (BoE) ha lasciato i tassi di interesse invariati al 5,25%. Round Rock (TX) - During today's quarterly conference call for Q2 fiscal 2007 financial results, Dell Computer Chief Financial Officer Jim Schneider admitted his company received a notice in August 2005 from the US Securities and Exchange Commission, regarding what he says regards reporting of Dell's earnings prior to fiscal 2006.

Schneider did not say the SEC notice regarded the practice of options backdating - which is the subject of SEC inquiries recently facing Apple, Nvidia, and Juniper Networks - however, recent events suggest that backdating is the likely subject. Dell already initiated an independent internal audit, he said, the results of which are being reported to the SEC.

La sec pare che abbia sentore che pezzi grossi di queste societa' si siano attribuiti ,in momenti di consistenti rialzi dei suddetti titoli, delle stock options retrodatate .
Praticamente una truffa.

quello che mi interessa è capire se ci possono essere conseguenze sul prezzo dei titoli coinvolti in questa inchiesta

e da un mese e più che tira avanti questa storia delle stock option, sono 80 le società, più o meno note, sotto la lente della sec, anche la pixar e sanmina.
Sanmina ha avviato controlli interni come dell, questo il risultato:

SAN JOSE, Calif. (AP) -- Electronics manufacturing service provider Sanmina-SCI Corp. said Monday that a preliminary review of stock option grant procedures found possible discrepancies between actual measurement dates and recorded grant dates for certain options.

The company said that the initial findings by a special committee are not conclusive and that the investigation is not finished.

Sanmina-SCI said it could not file its third-quarter 10-Q report for the period ending July 1 with the Securities and Exchange Commission because of the investigation and will not be able to file it within the five-day extension period. The company hopes to file the report and any necessary restatements within the next 30 days, but gave no assurance against further delays

anche se e' difficile capire quando cio' accadra': nella prossime trimestrali ?fine settembre/inizi ottobre ? :mmmm: :confused:

Ci possono essere conseguenze, anche se non si sa di quale portata.

Per esempio la Apple dovrà riscrivere i bilanci degli ultimi anni e non ha potuto presentare in tempo l'ultimo 10Q, ed è per questo stata minacciata di un delisting dal Nasdaq (ma probabilmente raggiungeranno un accordo col Nasdaq, a patto che vengano a capo dei conti in un tempo ragionevole).

Anche i ceo delle società, qualora ritenuti colpevoli, potrebbero essere costretti a lasciare il posto, con conseguenze ben immaginabili.

In realtà non penso proprio si arriverà a tanto, ma la crescita dei titoli delle aziende coinvolte sarà di sicuro influenzata da questa storia.

Il backdating è più un problema di contabilità che di valutazione.
In sostanza consiste nell'assegnare retrodatazioni sulle stock options in modo da far lucrare i managers. va considerato però che questa era una prassi nota a tutti per attirare i managers e per compensare gli stessi senza incidere sui costi fissi.
Di per sé può anche essere una pratica legale qualora ne sia informato il Board ed è qui che si gioca un po' tutto.
E' una forma di evasione fiscale in quanto le stock options sono deducibili.
Gli impatti economici possono essere molteplici dalle spese per le azioni legali, alle penalità a seconda dell'entità, alla restituzione dei benefici fiscali per finire alle salate parcelle delle commissioni esterne che tutti si sono affrettati a nominare per controllare.
E' il solito schifo delle tre scimmiette.
Una cosa positiva è che i managers implicati verranno spazzati via e poiché le aziende il più delle volte restano mentre i managers (fortunatamente) passano se queste sono buone resisteranno bene e potranno essere buone per eventuali takeovers.

Stock Option Inquiries Cause Nvidia, Wind River to Miss SEC Deadlines

SAN FRANCISCO (AP) -- Computer chip maker Nvidia Corp. and software maker Wind River Systems Inc. on Monday both warned they will miss government-mandated deadlines for filing their most recent quarterly reports, joining a long list of tardy tech companies scrambling to clean up a stock option mess.

The delay will expose both Santa Clara-based Nvidia and Alameda-based Wind River to being dropped from the Nasdaq Stock Market. But that process takes several months, giving the companies time to comply with the Securities and Exchange Commission's reporting rules before getting bounced from the Nasdaq.

Like dozens of other companies, Nvidia and Wind River are reviewing whether they properly accounted for past stock options awarded to its employees. Both companies disclosed internal investigations last month.

Many companies with stock option problems aren't filing quarterly reports with the SEC until they straighten out their finances. The list of other high-tech companies that have recently missed the SEC's filing deadlines because of stock option woes includes Broadcom Corp., Apple Computer Inc., Cnet Networks Inc., Juniper Networks Inc., Rambus Inc. and VeriSign Inc.

Nvidia's inquiry already has concluded the timing of some stock option awards were incorrectly recorded on the books. The company is now trying to determine if it needs to wipe out some of its previously reported profits.

Meanwhile, the SEC has asked Nvidia to provide more details about its stock option troubles, the company said Monday.

Wind River's audit committee is still examining whether the company mishandled any of its stock options. If trouble turns up, Wind River also may have to revise its financial statements.

Investors took Monday's news in stride. Nvidia shares rose 43 cents to close at $28.13, or up 1.5 percent on the Nasdaq, where Wind River gained 5 cents to $10.75.

Troubles similar to those facing Nvidia and Wind River are widespread. The SEC is investigating more than 100 companies for the possible manipulation of their stock options.

The government investigations are focused on a practice known as "backdating." This occurs when stock options are issued retroactively to coincide with low points in a company's share price -- a maneuver that increases the potential windfall for the recipient of the award.

Backdating isn't necessarily illegal as long as the costs are fully disclosed and reflected on the books. If the accounting is botched, backdating can exaggerate a company's profits and wrongly lower taxes.

Fixing the errors sometimes dictates dramatic changes. For instance, Mercury Interactive Corp. wiped out more than $530 million of its profits earlier this summer and just last week Broadcom said it will absorb a $1.5 billion charge to correct its stock option flaws.

Io sarei per lo short...il loro predominio in campo tecnologico non può durare per più di un altro mezzo anno, hanno costruito il loro successo (in campo borsistico) con prodotti superiori alla concorrenza (Amd,da quando ha aquistato Ati) che gli hanno consentito grandi vendite e grossi margini ma come sai nell'hi-tech tutto si alterna.
Già nelle prossime due trimestrali inizieranno a diminuire i profitti, credo.

Così su due piedi e senza ulteriori e approfondite analisi io sono piuttosto ottimista sulle future quotazioni di nvidia.

In questo campo il grosso delle vendite non si fa con i modelli hi-end (e questo vale anche per ATI) e poco importa la supremazia prestazionale. Sono convinto che il 99% degli investitori non conosce il 3D-mark ;)

Piuttosto io guarderei più ai contratti di fornitura stipulati con i produttori di notebook e computer in generale (Dell, Apple, HP, ecc. ecc.): quanti ne ha, ne avrà, ne aveva (in assoluto, rispetto ad ATI, ecc. ecc.).
