la società ha aderito al bid lanciato da una cordata di equity firms alcuni giorni fa: questa offerta comprende una opzione di riacquisto al valore nominale (cioè a 100) dei bonds già emessi per chi aderirà all'offerta entro una determinata scadenza e a 99 per chi aderirà entro una scadenza successiva.

Trovate sotto il dispaccio Reuters che dà questa informazione. Le banche nn sono ancora state informate dei dettagli dell'operazione, e anch'io non so essere più preciso, salvo dire che è una cosa senz'altro positiva per chi aveva comprato sotto la pari.

LONDON, Nov 30 (Reuters) - The private equity firms that have submitted a buy-out offer to Danish telecoms operator TDC (TDC.CO: Quote, Profile, Research) said in a statement on Wednesday that they plan to buy back the company's existing bonds at 100 percent of face value.

Nordic Telephone Company, the company formed by Apax Partners, Permira Advisors, Blackstone Group, Providence Equity Partners and Kohlberg Kravis Roberts & Co. said the offer to bondholders would cover the following securities:

-the 500 million German mark 5 percent notes due 2008;

-the 3 billion Japanese yen 1.28 percent notes due 2008;

-the 350 million euro 5.625 percent notes due 2009;

-the 1.0 billion euro 5.2 percent notes due 2010;

-the 700.053 million euro 3.875 percent notes due 2011;

-and the 750 million euro 6.5 percent notes due 2012.

NTC said the tender would be conducted such that those bondholders who met an early tender deadline would be paid 100 percent of face value, while those tendering later would be paid 99 percent.

TDC also has a bond maturing in April 2006 that is not included in the offer.

The move surprised debt investors: TDC's bonds had been trading at a deep discount to par value ahead of the expected private equity bid, as investors were concerned that new debt to be used to finance the acquisition would rank ahead of them.

One trader said the euro bonds due 2011 had traded at 87 percent of face value on Tuesday.

The cost of insuring against a default by TDC fell sharply as some in the market looked to cover short positions taken ahead of the bid and some said they were surprised about the bond buy-back.

Five-year credit default swaps on TDC fell some 80 basis points to 260 basis points, meaning it costs 260,000 euros a year to insure 10 million euros of the company's debt against default.

Earlier this year, there was a protracted row between bondholders of ISS, a Danish cleaning services firm bought by private equity firms, and the company's new owners after they said they would not refinance the company's existing bonds, instead adding it to the pile of debt being used to buy ISS.

Certo, le banche sanno delle news prima di tutti noi, ma nn è ancora ufficiale il come funziona (tempistica e modalità in genere) la faccenda del riacquisto dei bonds e delle scadenze di adesione. Se sanno qualcosa di più, lo sanno in via ufficiosa...

Ciao, grazie a te x i complimenti... tieni conto che io nn opero per conto di una banca, sim ecc., per cui pur riuscendo ad avere abbastanza rapidamente certe info, non è mai in tempo reale....faccio del mio meglio !!!

Dunque, c'è stato il downgrade di Moody's a Ba1 da Baa1 (quindi sotto l'investment grade); S&P ha avvisato che probabilmente farà lo stesso, passando da BBB+ a BB.

La notizia era attesa e più che compensata dall'offerta di riacquisto alla pari prospettata in mattinata...
