Labco
Launch of €500 million Senior Secured Notes offering
Labco, one of the leading groups in the European clinical laboratory services market, announces the
offering of €500 million senior secured notes due 2018 (the “Notes”) in a private placement to qualified
institutional buyers pursuant to Rule 144A under the U.S. Securities Act of 1933, as amended (the
“Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act.
The Notes will be issued by Labco S.A.S., the parent company of the Labco group. The proceeds of the
offering will be used to repay approximately €450 million of indebtedness under Labco’s existing credit
facilities and for general corporate purposes. The Notes will be guaranteed on a senior basis by certain of
Labco’s subsidiaries and secured by first-ranking liens over the capital stock of certain of Labco’s
subsidiaries and certain intercompany receivables.
